  1. Introduction

WellHive Holdings, Inc. (“WellHive” or “we” or “us”) provides this Privacy Policy (“Policy”) to inform you (“you”) of our policies and procedures regarding the collection, use and disclosure of personal information we receive via our website at https://WellHive.com (the “Site”) and the services we provide through our applications, software, or products (collectively, the “Application”). The Application, Site, and any supporting subdomains are managed and run by WellHive Holdings, LLC. Any information collected by the site is collected by WellHive on our behalf and in compliance with the Policy. By accessing or using the Site, the Application, or our services (collectively, the “Platform”), you consent to the collection, transfer, processing, storage, disclosure, and other uses set forth in this Policy.  

This Privacy Policy describes how we may access, use, and process your information including Personal Information. We use the term “Personal Information” to mean any information that identifies you as an individual, and any other information that we associate with it.

The Platform may contain health or medical-related information. Such information is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition.

  1. Scope of this Privacy Policy

It is important that you understand the scope of this Privacy Policy. The following terms will help you understand the scope of this Privacy Policy:

  • “Health Care System” means a hospital, clinic, health care practice, medical group or other healthcare systems ((like the Department of Veterans Affairs)) that contracted with WellHive to permit the use of the Platform by their respective Providers and Patients.
  • “Providers” are medical doctors, practitioners, patient advocates, coaches or other individuals who (as employees of or contractors to a Health Care System) provide healthcare or related services to Patients.
  • “Patients” are individual patients of the Health Care System who receive healthcare services from one or more Providers.

This Privacy Policy does not apply to the extent that information is collected pursuant to a business associate agreement that includes WellHive and a Health Care System and/or their Providers. In such cases, WellHive acts as a service provider and, accordingly, the applicable Health Care System and their Providers are responsible for: (i) securing the privacy and security of any Patient information; (ii) obtaining the necessary consents and authorization from Patients to provide their information to WellHive or through the Platform; and (iii) ensuring compliance with the Health Insurance Portability and Accountability Act (“HIPAA”) Privacy Rules or other applicable laws to protect sensitive patient health information from being disclosed without the Patient’s consent or knowledge. In such circumstances, please contact the applicable Health Care System or Provider if you have inquiries regarding the Personal Information that we collected on behalf of such third party, or if you would like to exercise any rights that you may have with respect to such Personal Information under applicable law. WellHive is not responsible for the privacy or data security practices of a Health Care System and/or their Providers. Please be aware that their privacy policies may differ from this Privacy Policy and we recommend that you visit their website(s) or contact them directly for details and updates regarding their privacy policies.   1. How We Collect and Use Personal Information

  1. Types of Information

  1. Personal Information. As defined above, we define Personal Information to mean any information that identifies you as an individual, and any other information we associate with it. We may receive Personal Information from you directly if you submit questions, comments, or other requests to us. That information will be limited based on the request you submit and may include:

  • Your name;
  • Your address;
  • Your phone number; and
  • Your email address.
  1. Online Activity Information. We also collect technical and device-related information through our Platform and third party analytics tools we use (collectively, the “Online Activity Information”). Sometimes Online Activity can be associated with your Personal Information (in such cases we treat it as Personal Information), otherwise it is considered Anonymous Information (as defined below).

  2. Anonymous Information. In addition to Personal Information, we may also have (i) information that does not identify you or your devices, and (ii) de-identified Personal Information that no longer identifies you (collectively, “Anonymous Information”). Information that meets either these criteria might include, for example, demographic information, statistical information (e.g., page views and hit counts), and general tracking information. We use Anonymous Information for our business operations, for example, to engage in marketing and other activities in a manner that protects our customers, since Anonymous Information does not include Personal Information and, as such, is outside the scope of this Privacy Policy.

  1. Information Submitted by You. When you submit questions, complaints, or other requests to us, you provide us with certain Personal Information required to complete the your requests (as described above). You agree that WellHive may use any Information, including Personal Information, that you submit using the Platform for any purpose identified within this Privacy Policy, unless explicitly revoked by you per Section 5 of this policy.

  2. Protected Health Information. All Personal Information that is processed by us and covered by HIPAA will be treated in accordance with the business associate agreement covering such Personal Information.

  3. Log Data and Usage Information. When you access or use the Platform our servers automatically record information that your browser sends whenever you visit a website generally (“Log Data”). This Log Data may include information such as your computer’s Internet Protocol (“IP”) address, browser type, operating system, and/or the webpage you were visiting before you came to our Site, pages of our Site that you visit, the time spent on those pages, access times and dates, and other statistics. We use this information to ensure our products and services are functioning as intended and keeping our users’ data safe when submitted on our Site.

  4. Cookies. We may collect certain information using “cookies,” which are small text files that the Website saves on your computer or mobile device, or similar technologies that allow us to recognize your computer or mobile device. You can disable cookies in your browser settings, but doing so may affect the functionality of the Website. For further information, see the Cookie Privacy Policy in Section 4 (Cookie Policy) below.

We may use or disclose your information in connection with providing, operating, and improving the Platform and our business, including, for the following purposes:

We use the information that we collect or process, including Personal Information, to provide you with the Platform and in connection with, to respond to your inquiries, and to customize and enhance your use of the Platform.

  1. Service Providers

We may share your information with third party companies, government agencies (such as the Department of Veterans Affairs) and individuals in connection with the Platform, such as to provide services on our behalf, to perform site-related services (e.g., without limitation, maintenance services, database management, payment processors, web analytics, and improvement of the services’ features) or to assist us in analyzing how the Platform is used. These third parties have access to your Personal Information only to perform these tasks on our behalf (and for no other purposes) and are obligated not to disclose or use it for any other purpose.

  1. Compliance with Laws and Law Enforcement

WellHive cooperates with government and law enforcement officials and private parties to enforce and comply with the law. We may disclose the information we collect from you in order to comply with the law, a judicial proceeding, court order, subpoena or other legal process.

  1. To Protect Us and Others

We also may disclose the information we collect from you where we believe it is necessary to investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the safety, rights or property of any person or party, or violations of our Terms of Use or this Privacy Policy.

  1. Improve the Platform

We use your information to perform analytics, quality control, market research, and to determine the effectiveness of our Platform, to improve our current products and services, and to develop new products and services.

  1. Business Transfers

We share information we collect about you, including your Personal Information, and other information collected from you, in connection with a merger, acquisition, reorganization, sale, or disposition of all or any portion of our business, assets, or stock (including in connection with a bankruptcy or similar event). In such circumstances, the acquiring party will be subject to the terms of this Privacy Policy.

Like many websites, we use cookies to collect information. However, cookies, of the types listed below, are only used on the marketing webpage located at https://wellhive.com. A “cookie” is a small data file that we transfer to your computer’s hard disk for record-keeping purposes. We use cookies for several purposes as identified below.

The WellHive website also use Google Analytics to measure traffic on our website. More information on Google Analytics is available here. Google has its own Privacy Policy which you can review here. If you’d like to opt out of tracking by Google Analytics, you may be able to do so using Google’s opt-out browser add-on, available here.

The Application, unlike the cookies mentioned above, utilizes session cookies. Unlike persistent cookies, session cookies are deleted from your computer when you log off from the Application and then close your browser.

You can instruct your browser, by changing its options, to stop accepting cookies or to prompt you before accepting a cookie from the websites you visit. If you do not accept cookies, however, you may not be able to use all portions or the complete functionality of the Platform.

  1. Changing, Correcting, or Deleting Your Information

You may review, update, correct or delete Personal Information by making the appropriate corrections on the Platform or by contacting the applicable Provider or Health Care System. If you delete all such Personal Information, then your Account may become deactivated. However, we may retain a copy of your records in our systems in order to comply with our legal and regulatory requirements. Please be aware that if you request that we delete your information, then this will not impact the information that your Providers or Health Care System has obtained about you (even if through the Platform).

  1. Data Access and Portability

In some jurisdictions, applicable law may entitle you to request certain copies of your Personal Information held by us. You may also be entitled to request copies of Personal Information that you have provided to us in a structured, commonly used, and machine-readable format and/or request us to transmit this information to another service provider (where technically feasible). To make a request for such Personal Information, please submit a request using the contact information in Section 14 (Contacting Us).

  1. Keeping and Deleting Your Data

We will keep your Personal Information for only so long as is necessary to provide you with the Platform and to comply with our legal obligations. In certain jurisdictions, you can request to have all your Personal Information. If you request the deletion of your Personal Information then we will comply with our applicable legal obligations when responding to such request.

  1. Withdrawing Consent of Processing

If we are processing your Personal Information based on your consent to WellHive you may withdraw your consent at any time either by contacting us using the information in Section 14 (Contacting Us). Please note that the withdrawal of your consent does not impact our ability to process your Personal Information in our role as a service provider to a third party or otherwise affect the lawfulness of any processing activities based on such consent before its withdrawal.

  1. Changing or Deleting Your Information

If you provided us with Personal Information in accordance with a request to provide information about the Platform and no longer desire to receive information about WellHive’s Platform, then you may have your Personal Information updated or removed from WellHive’s records by contacting us using the contact information listed below in Section 14 (Contacting Us).

We will do our best to promptly respond to your request but in any event will respond in compliance with applicable law.

  1. What Choices Do I Have?

You can always opt not to disclose information, even though it may be needed to access certain portions or for certain features of the Platform. If you have any questions about your choices under this Privacy Policy, then please contact us using contact information listed below in Section 14 (Contacting Us).

  1. Security

Security of your Personal Information is one of our top concerns. We have implemented industry standard precautions to protect our Platform, as well as the information we collect, from loss, misuse, unauthorized access, disclosure, alteration, and destruction. We have also implemented access controls to safeguard against unauthorized access to our information systems. Please be aware that despite our best efforts, no data security measures can guarantee 100% security all of the time. There are also certain steps you should take to safeguard your information. For example, you should select a secure password that only you know and should always sign out of your account when finished. In addition, you should not grant access to your account to any third parties. It is your responsibility to protect the confidentiality of your password and/or credentials in order to prevent unauthorized access to your Account. You are responsible for all activities that occur under your Account and password and we will treat anyone that logs into the Platform with your Account and password as you. You should immediately change your password and notify us if you discover or suspect any unauthorized use of your account.

  1. International Transfer

Your information will be transferred to, and maintained on, computers located in the United States if you are located outside the United States and choose to provide information to us. Your consent to this Privacy Policy represents your agreement to that transfer. If you no longer agree to the transfer of your information to the United States, please delete your Account per the instructions in Section 5 (Your Rights).

California Privacy Rights

Effective January 1, 2020, the California Consumer Privacy Act (CCPA) allows California residents (each, a “resident”), upon a verifiable consumer request, to request that a business that collects residents’ Personal Information to provide consumers access, in a portable and (if technically feasible) readily usable form, to the specific pieces and categories of Personal Information that the business has collected about the resident, the categories of sources for that information, the business or commercial purposes for collecting the information, and the categories of third parties with which the information was shared. Residents also have the right to submit a request for the deletion of their Personal Information under certain circumstances. Consistent with California law, if you’re a resident and choose to exercise your rights, then we won’t charge you different prices or provide different quality of services unless those differences are related to your information. Please see Section 14 (Contacting Us) to submit a request. Please note that you must verify that you are a resident before further action is taken for such a request.

We do not sell Personal Information to third parties. We do allow third parties to collect Personal Information through our Platform and share Personal Information with third parties for the business purposes described in this Privacy Policy, including without limitation advertising and marketing on our Platform based on users’ online activities over time and across different sites, services, and devices.

  1. Customer Testimonials,
    Comments, & Reviews

We may post Customer testimonials, comments, and reviews on our Platform, which may contain Personal Information. We do obtain the Customer’s consent via email prior to posting the testimonial, in order to be able to post their name along with their testimonial. If you wish to update or delete your testimonial, you can contact us as set out in Section 14 (Contacting Us).

  1. Links to Other Websites

The Platform may contain links to other websites or resources. If you choose to click on a third-party link, you will be directed to that third party’s website. The fact that we link to a website is not an endorsement, authorization or representation of that third party of our affiliation with that third party, nor is it an endorsement of their privacy or information security policies or practices. We do not exercise control over third party websites. These other websites may place their own cookies or other files on your computer, collect data or solicit personal information from you. Other websites follow different rules regarding the use or disclosure of the Personal Information and the like that you submit to them. We encourage you to read the privacy policies or statements of the other websites you visit.

  1. Children Under 13

We are committed to protecting the privacy of children. We do not collect Personal Information from any person we actually know is under the age of 13. If a parent or guardian becomes aware that his or her child has provided us with Personal Information without their consent, then he or she should contact us as set out in Section 14 (Contacting Us).

  1. Changes to This Policy

If material changes to this Privacy Policy are made, then the updated policy will be posted on the Platform with the accompanying revision date. WellHive may amend or update this Privacy Policy from time to time. Use of information We collect is subject to the Privacy Policy in effect at the time such information is collected. If we make material changes in the way we use Personal Information, we will notify you by posting an announcement on the Platform or sending you an email prior to the change becoming effective. Lack of notification from us regarding a change to this Privacy Policy does not invalidate any changes. You must periodically review this Privacy Policy independently to note any changes. Your continued access or use of the Policy following any such change constitutes your agreement to be bound by such changes to the Privacy Policy. Your only remedy, if you do not accept the terms of this Privacy Policy, is to discontinue accessing or using the Platform.
